Terms of Service
These terms cover the Nexa account and workspace service, including its AI features and integrations. Nexa is currently in early development and testing.
1. Operator and agreement
Nexa is operated by OÜ Asius (registry code 16157235), Turu tn 34b, Tartu, 51004, Estonia. Contact person: Karel Nagel, nagelkarel@gmail.com. By using Nexa, you agree to these terms. If you use it for an organization, you must have authority to act for that organization. If you do not agree, do not use the service.
A separate written agreement may specify your organization’s services, fees, support, data processing, or other commercial terms. Where that agreement conflicts with these terms, the separate agreement takes precedence for its subject matter.
2. Accounts and access
Provide accurate account information and protect your sign-in credentials, devices, and API keys. Use only accounts, organizations, projects, and resources you are authorized to access. Let us know promptly if you believe an account or key has been compromised.
Organization administrators control membership and permissions. Removing access to an organization may prevent you from accessing its projects and data. Your use of a connected application may also be subject to that application’s terms.
3. Testing and availability
During testing, features may change, be interrupted, or be withdrawn. Unless separately agreed in writing, there is no guaranteed uptime, response time, support coverage, or recovery time. Keep your own copies of information you need and evaluate the service before depending on it for critical operations.
4. Authorized work and AI
Nexa’s assistant and automations can work with files, code, infrastructure, and connected services within the permissions granted to them. Your requests and configured automations may result in changes, deployments, communications, resource use, and charges from connected providers. Give clear instructions and grant only the access appropriate for the work.
AI output can be inaccurate, incomplete, or unsuitable for a particular purpose. Review results and verify important actions. You remain responsible for decisions made using the output and for compliance requirements that apply to your business. AI output is not a substitute for qualified legal, accounting, or other professional advice.
5. Your content and rights
You retain your existing rights in content you provide. You grant Nexa permission to host, copy, process, transmit, and display that content as needed to provide the service, perform your authorized tasks, maintain security, and provide requested support. This includes processing by the service providers described in our Privacy Policy.
You must have the rights and lawful basis needed to upload or process the content, including personal information about other people. Respect third-party licenses and intellectual property rights. AI output may not be unique and may need review before use. These terms do not transfer ownership of Nexa’s platform or promise a license to its source code; project delivery and any additional ownership or handover rights may be agreed separately.
6. Acceptable use
Do not use Nexa for unlawful activity, infringement, fraud, harassment, unsolicited abusive messaging, malware, or attempts to access or disrupt systems without permission. Do not bypass access controls, expose other users’ secrets, or abuse service resources. Security testing of a third-party system requires that system owner’s authorization.
7. Connected services and fees
Cloudflare, GitHub, Google, model providers, and other connected services have their own terms, limits, and availability. You are responsible for the accounts you connect, the authority to grant access, and any charges under your agreements with those providers.
Nexa fees, included work, usage limits, and billing periods will be disclosed and agreed before paid service is provided. These terms do not set a price or create a paid subscription by themselves. A testing period does not promise permanent free access.
8. Privacy
Our Privacy Policy explains how account and workspace information is handled. An organization using Nexa to process personal information remains responsible for its own notices, lawful purposes, and instructions. Where required, an appropriate data processing agreement must be in place for that processing.
9. Ending or restricting access
You may stop using Nexa at any time and contact us to request account closure or deletion. Data requests are handled as described in the Privacy Policy. Disconnecting a provider or signing out does not automatically delete a Nexa account or resources in an external service.
We may restrict or suspend access to address a security incident, unlawful activity, abuse, breach of these terms, or a legal requirement. Where practical and lawful, we will explain the reason and give an opportunity to resolve it. If we discontinue testing, we will provide reasonable notice where possible so you can arrange copies of your information.
10. Responsibility and liability
To the extent permitted by law, the testing service is provided as available, without a promise that it will be uninterrupted, error-free, or fit for every purpose. Each party remains responsible for its obligations under applicable law. Nothing in these terms excludes liability that cannot legally be excluded, including liability for intentional misconduct, or limits mandatory consumer or data protection rights.
11. Changes, law, and contact
We may revise these terms as Nexa develops. The date at the top identifies the current version. We will give notice of material changes affecting existing users through the service or available contact details. Changes do not retrospectively remove accrued rights.
These terms are governed by Estonian law, subject to any mandatory protections that apply where you live. Please contact nagelkarel@gmail.com first so we can try to resolve a concern. This does not prevent you from using a court or regulatory authority available under applicable law.
